Time and again, I hear questions from clients confused by what tax information they need to file\u2014or if they count as foreign-owned at all.<\/p><\/div>\n<\/div>\n<div class=\"section\">\n<div class=\"container py-4 text-left\">\n<h3>Here are some answers:<\/h3>\n<\/p><\/div>\n<\/div>\n<div class=\"section pb-5\">\n<div class=\"container py-4 text-left\">\n<h4>1. What Is a Foreign-Owned Disregarded Entity?<\/h4>\n<p>        A \u201c<a href=\"https:\/\/www.irs.gov\/businesses\/small-businesses-self-employed\/single-member-limited-liability-companies\">disregarded entity<\/a>\u201d is a business or organization that exists legally but doesn\u2019t have to file for income taxes. Any <a href=\"https:\/\/www.irs.gov\/businesses\/small-businesses-self-employed\/single-member-limited-liability-companies\">Single member LLC<\/a> that has not elected to be treated as a corporation is automatically a disregarded entity.<\/p>\n<p>        Now, what about a \u201cforeign person?\u201d<\/p>\n<p>        According to the IRS, \u201cA foreign person includes a <a href=\"https:\/\/www.irs.gov\/individuals\/international-taxpayers\/determining-alien-tax-status\">nonresident alien individual<\/a>, foreign corporation, foreign partnership, foreign trust, a foreign estate, and any other person that is not a U.S. person.\u201d<\/p>\n<p>        So, if you fit that description and you own an LLC, then congratulations! You have a foreign-owned disregarded entity.<\/p>\n<h6>Now what?<\/h6>\n<\/p><\/div>\n<\/div>\n<div class=\"section py-5 light_gray_bg\">\n<div class=\"container py-4 text-left\">\n<h4>2. What Forms Do Foreign-Owned Single-Member LLCs Have to File?<\/h4>\n<p>        Before 2017, the question of what IRS forms a foreign-owned LLC had to file came with a very different answer. Previously, if a foreign-owned LLC was a \u201cdisregarded entity\u201d and neither the owner nor the LLC had US sourced income or engaged in a US trade or business, there was no need to file anything at all.<\/p>\n<p>        Ah, the good old days.<\/p>\n<p>        Unfortunately, times have changed. Since 2017, foreign-owned single member LLCs have to get an <a href=\"https:\/\/www.irs.gov\/businesses\/small-businesses-self-employed\/apply-for-an-employer-identification-number-ein-online\">employer identification number (EIN)<\/a> if they don\u2019t have one already.<\/p>\n<p>        In order to obtain an EIN, the disregarded entity must designate a \u201cresponsible person.\u201d According to the IRS, that\u2019s \u201cthe individual who has a level of control over, or entitlement to, the funds or assets in the entity that, as a practical matter, enables the individual, directly or indirectly, to control, manage, or direct the entity and the disposition of its funds and assets.\u201d<\/p>\n<p>        Then, once they have their EIN, they must file Form <a href=\"https:\/\/www.irs.gov\/pub\/irs-pdf\/f5472.pdf\">5472<\/a> and pro forma Form <a href=\"https:\/\/www.irs.gov\/pub\/irs-pdf\/f1120.pdf\">1120<\/a>.<\/p>\n<p>        Don\u2019t worry, it really isn\u2019t as complicated as it sounds.<\/p>\n<p>        The good news is that the new law doesn\u2019t add any new tax obligation provided your income is not \u201c<a href=\"https:\/\/www.irs.gov\/individuals\/international-taxpayers\/nonresident-aliens-source-of-income\">US sourced<\/a>\u201d, <a href=\"https:\/\/www.irs.gov\/individuals\/international-taxpayers\/fixed-determinable-annual-periodical-fdap-income\">FDAP<\/a> or <a href=\"https:\/\/www.irs.gov\/individuals\/international-taxpayers\/effectively-connected-income-eci\">US Effectively Connected Income<\/a>. The foreign-owned SMLLC still isn\u2019t actually paying anything\u2014they remain disregarded entities for income tax purposes.<\/p>\n<p>        So, the paperwork and hassle can be an added headache!<\/p>\n<p>        Here\u2019s the rundown again:<\/p>\n<h6>All foreign-owned single member LLCs are required to:<\/h6>\n<ul class=\"single border-0 pb-0 mb-0\">\n<li>Obtain an Employer Identification Number (EIN, or federal tax number)<\/li>\n<li>File Form 5472, if there have been any \u201creportable transactions\u201d during the previous tax year Formation and dissolution filings are considered to be reportable transactions- See the Final regulation <a href=\"https:\/\/www.irs.gov\/irb\/2017-03_IRB#TD-9796\" rel=\"noopener\" target=\"_blank\">here <\/a>for examples of transactions that are reportable.<\/li>\n<li>File form 1120<\/li>\n<li>Maintain adequate books and records to support your claims on Form 5472<\/li>\n<\/ul>\n<p>        Note: the IRS treats each foreign-owned disregarded LLC as a separate entity. That means that if one foreign person owns more than one LLC, they must report each LLC separately.<\/p><\/div>\n<\/div>\n<div class=\"section py-5\">\n<div class=\"container py-4 text-left\">\n<h4>3. Why Did the IRS Change the Regulations for Foreign-Owned Single Member LLCs?<\/h4>\n<p>        Under the \u201c<a href=\"https:\/\/www.irs.gov\/pub\/int_practice_units\/ore_c_19_02_01.pdf\">check-the-box\u201d<\/a>\u00a0regulations, a business entity with a single owner can be disregarded as separate from its owner for various tax purposes and may not be required to file a U.S. tax return or obtain an EIN. As a result, the IRS may lack information about the disregarded entity potentially shielding foreign owners from U.S. and foreign tax liabilities. Many U.S. LLCs are viewed as tax havens by foreign jurisdictions.<\/p><\/div>\n<\/div>\n<div class=\"section py-5 light_gray_bg\">\n<div class=\"container py-4 text-left\">\n<h4>4. How Do You File Forms 1120 &amp; 5472?<\/h4>\n<p>        Hopefully, now you know what to file. But how do you actually do it?<\/p>\n<p>        Here\u2019s how:<\/p>\n<p>        A. Pro forma Form 1120:<\/p>\n<p>        The IRS lets you file pro forma Form 1120 with reduced information. The only information they require on the Form 1120 is:<\/p>\n<ul class=\"single border-0 pb-0 mb-0\">\n<li>Name &amp; address of the foreign-owned disregarded entity<\/li>\n<li>Employer Identification Number (EIN)<\/li>\n<li>Checkboxes for initial returns, final returns, or name &amp; address changes<\/li>\n<\/ul>\n<p>        Once you\u2019ve entered that information in, write \u201cForeign-owned U.S. DE\u201d across the top of the form.<\/p>\n<p>        B. Form 5472<\/p>\n<p>        Form 5472 is not straightforward as it looks .the instruction requires you to enter the information into the correct boxes, and you\u2019re set.<\/p>\n<p>        After you\u2019ve completed Form 5472, you\u2019ll attach it to your pro forma Form 1120.<\/p>\n<p>        The pro forma Form 1120 and attached Form 5472 will have to be mailed to a special address. The standard Form 1120 mailing addresses won\u2019t work. You can find the correct address in the filing instructions for Form 5472.<\/p>\n<p>        Note: Those addresses can change from time to time, so remember to check the instructions each year.<\/p><\/div>\n<\/div>\n<div class=\"section py-5\">\n<div class=\"container py-4 text-left\">\n<h4>5. Is It Really Necessary to File? (Hint: Yes.)<\/h4>\n<p>        You might be thinking, \u201cSure, that\u2019s what the law says, but do I really have to? They won\u2019t care if I forget, right?\u201d<\/p>\n<p>        Wrong.<\/p>\n<p>        The penalties for not filing Form 5472 can be steep. If you fail to file for a foreign-owned single member LLC, the standard fine is $25,000. If you have more than one LLC, that\u2019s an extra fine for each. It can add up quick.<\/p>\n<p>        Either way, trust me, you need to file.<\/p><\/div>\n<\/div>\n<div class=\"section py-5 light_gray_bg\">\n<div class=\"container py-4 text-left\">\n<h4>6.
