Wyoming LLC Annual Compliance for Foreign Owners

Wyoming LLC Annual Compliance for Foreign Owners

State annual reports, registered agents and federal reporting

Who This Applies To

  • Foreign owners forming or maintaining a Wyoming LLC.
  • Owners reviewing an annual report notice or a registered-agent renewal invoice.
  • New or inactive businesses assessing their first or next filing obligations.

The federal discussion below assumes a U.S. LLC wholly owned by one foreign person and disregarded for federal income tax purposes. Confirm that classification first. No particular revenue type, income-tax liability or delinquency is assumed.

Core Tax Rule in One Paragraph

Wyoming entity maintenance and federal tax reporting operate independently. An LLC must satisfy its state annual-report and registered-agent obligations. Separately, a foreign-owned U.S. disregarded entity is treated as a corporation for the limited reporting rules of Internal Revenue Code section 6038A. It generally files Form 5472 when it has reportable related-party transactions during the tax year. That limited rule does not itself make the LLC a corporation for federal income tax purposes.

Frequently Asked Questions

1. What are the three obligations I should track?

Track the Wyoming annual report and license tax, the registered-agent appointment and service renewal, and applicable IRS filings. A payment or filing in one category does not satisfy the others.

2. When is the Wyoming annual report due?

It is due on the first day of the month in which the LLC was formed. The first annual report is due in the following year. For example, an LLC formed on September 18 generally files its first report by September 1 of the next year. Use the state’s entity record to confirm the anniversary month.

3. How much is the annual state charge?

The annual report license tax is the greater of $60 or 0.0002 multiplied by the LLC’s assets located and employed in Wyoming. This is an asset-based calculation, not a percentage of sales or profit. The official fee schedule effective July 1, 2026 confirms this formula. Processing and private service fees may be additional.

4. Does paying my registered agent cover the annual report?

Only if the service agreement includes that work. Check whether the invoice covers the agent appointment, preparation and submission of the annual report, the state license tax, or several services. Obtain the filed report and state confirmation; a paid service invoice alone does not establish that a report was filed.

5. What does a registered agent do?

The registered agent provides the required Wyoming contact for service of process and other official communications. The agent must meet Wyoming eligibility and physical-address requirements. Tax preparation, bookkeeping and annual-report filing are separate services unless expressly included in the agreement. Keep the appointment and contact information current.

6. Does every foreign-owned LLC file Form 5472 every year?

No blanket rule fits every LLC. First confirm that the entity is a U.S. disregarded entity wholly owned by a foreign person. Then review the year’s reportable transactions with the owner and other related parties. If qualifying transactions occurred, prepare the required Form 5472 package. If none occurred, the no-reportable-transactions exception may apply; retain records supporting that conclusion.

7. Can an LLC with no revenue still have a federal filing obligation?

Yes. Owner contributions, loans, distributions and payments connected with formation can be reportable even without customer revenue. An owner’s direct payment of an LLC expense can also require analysis as funding, an advance or another related-party transaction. Review who paid, whose obligation was paid, and whether reimbursement occurred. A dormant business is not necessarily transaction-free.

8. Why is Form 1120 attached if the LLC is disregarded?

A pro forma Form 1120 serves as the cover return for Form 5472 under the special foreign-owned disregarded-entity procedure. It does not itself elect corporate taxation. Use the IRS instructions for the required entries, identification and submission method; do not treat this limited cover return as a complete corporate income-tax return.

9. Is the federal deadline tied to the Wyoming anniversary?

No. Federal filing follows the applicable tax year. A calendar-year Form 5472 package is generally due April 15 of the following year, subject to weekends, legal holidays and valid extensions. Other tax years require a separate deadline calculation. A newly formed LLC may therefore have a federal filing due before its first Wyoming annual report.

10. Can an IRS extension postpone the state report?

No. Form 7004 may extend the federal filing deadline if timely and properly submitted under the special instructions for foreign-owned disregarded entities. It does not extend the Wyoming annual-report deadline or a registered-agent renewal date. Record the original and extended federal dates separately.

11. What records should I keep?

Keep the accepted formation documents, state file number, annual reports and confirmations, agent agreement and receipts, and the complete federal filing package with submission evidence. Maintain a transaction schedule showing dates, amounts, counterparties and the purpose of owner or related-party transfers. If no Form 5472 is filed, retain the analysis supporting that decision.

12. Does Wyoming good standing mean all taxes are handled?

No. Good standing addresses state entity status. Federal income tax depends on classification, ownership and activities; information reporting follows its own rules. State income or franchise taxes and sales-tax obligations must be evaluated separately where the business operates. This article addresses Wyoming entity maintenance and the specified federal information return, not a determination that other taxes are absent.

Forms and Filing Checklist

Wyoming Articles of Organization

Purpose and filer: The organizer files to form the LLC. Timing: At formation.

Inputs: Required entity information, addresses and registered-agent consent. Keep the accepted filing and effective formation information.

Wyoming Annual Report

Purpose and filer: The LLC files to satisfy annual state reporting and license-tax requirements. Deadline: First day of the anniversary month, beginning the following year.

Inputs: State file number, current entity details and the relevant Wyoming asset calculation. Save the filed report and payment confirmation.

Form 5472 with Pro Forma Form 1120

Purpose and filer: A qualifying foreign-owned U.S. disregarded entity reports applicable related-party transactions.

Deadline: Applicable Form 1120 due date, including a valid extension; generally April 15 for a calendar year.

Inputs: EIN, tax year, ownership and related-party details, transaction totals and supporting records. A separate Form 5472 is generally needed for each related party with reportable transactions.

Form 7004 if an Extension Is Needed

Purpose and filer: The LLC requests more time for the federal filing package.

Deadline: The original federal filing due date.

Inputs: Entity identification, correct return code and tax period. Follow the dedicated foreign-owned disregarded-entity submission instructions. An extension of filing time does not extend time to pay any tax otherwise due.

Registered-agent renewal is a service obligation rather than an IRS return. Its billing date and included services depend on the contract.

Deadlines and Penalty Exposure

Wyoming reports left unfiled for 60 days after the due date can lead to administrative dissolution under the Secretary of State’s published guidance. Do not treat that period as an extension. Maintain the registered agent independently of the report.

Federal penalties can arise from a missing, late or substantially incomplete Form 5472, or failures involving required records, even when no income tax is due.

Section 6038A contains the penalty framework. State compliance does not cure a federal failure, and federal compliance does not restore state status.

Practical Examples

Different First Year Deadlines

An LLC forms on September 18 and uses a calendar tax year. Its foreign owner contributes funds. Assuming the reporting conditions are met, the federal package is generally due April 15 of the next year, while the first Wyoming annual report is due September 1. The agent renewal follows the service agreement.

No Sales but Owner Paid Costs

An LLC has no sales, but its owner personally pays formation and agent charges. Those payments must be examined for federal related-party reporting. Lack of revenue does not remove the Wyoming annual report or automatically eliminate Form 5472.

An Annual Service Invoice

An owner pays an invoice labeled “annual compliance.” The owner checks the agreement and obtains separate evidence of the state filing and any federal filing. The invoice description alone does not establish which obligations were completed.
